Providing Artwork

The best way to provide us with your artwork is to attach it to an email or send us a link to download it online (Box, Dropbox, etc.).

Acceptable File Formats

Vector format is preferred.  Files ending in .ai or .eps are usually vector format, and some PDF files may be acceptable as well. If you do not have your logo or art file in vector format, RCP Denver can convert it for you in order to ensure top-quality printing on our promotional products and apparel. Raster to vector conversions are free of charge with most logos. If vector format is unavailable, please send the highest resolution image you have (usually the largest size file).

Logo Size and Modifications

Depending on the decoration method, product size or material we will be decorating, we may need to modify your logo in order to ensure quality printing and legibility. We will always discuss this with you beforehand and provide a complimentary art proof for your approval.

PMS Color Matches

We have a variety of standard ink colors available for printing on promotional products, depending on the item. Printing using a standard ink color is normally included in the price of the product. If you would like to use your exact PMS color(s), we can do that as well on most products. This may require a PMS color match charge, which will vary depending on the promotional product. Exact PMS matches can not be guaranteed on some products and with 4-color process branding methods.

Reorders and Decoration Files

Artwork is kept on file for at least one year from the date you place your order. Depending on the product, future orders for the same product using the same imprint will normally have reduced or waived setup charge(s) if ordered within one year of the last order. All artwork/decoration files created by Red Canoe Promotions and their affiliates (screens, films, transfer papers, digital files, DST files, etc.) are property of Red Canoe Promotions and its affiliates and are for use only on products sold by Red Canoe Promotions. Custom artwork created by Red Canoe Promotions is property of Red Canoe Promotions and may not be used without prior written consent.

Terms and Conditions

Order Approval & Authorization

Approval of a sales order constitutes acceptance of the order specifications, quantities, pricing, applicable charges, and these Terms and Conditions. Approval authorizes Red Canoe Promotions, Inc. ("Red Canoe") to proceed with order processing, sourcing, artwork preparation, production scheduling, and other activities necessary to fulfill the order, regardless of whether the purchaser has issued a purchase order (PO). If a PO is required by the purchaser, it must be provided before sales order approval. The purchaser is responsible for ensuring that all necessary internal approvals and purchasing authorizations have been obtained before approving the order. Unless expressly accepted by Red Canoe in a separate written agreement signed by an authorized Red Canoe representative, additional or conflicting terms contained in a purchaser's PO, vendor portal, or other document will not automatically modify or supersede these Terms and Conditions. The purchaser is responsible for reviewing all order details before approval, including product selection, quantities, pricing, artwork, colors, sizes, decoration specifications, shipping address, and applicable delivery information, and any proof(s). Any changes requested after approval are subject to Red Canoe's written acceptance and may result in additional charges or revised delivery dates.

Overruns/Underruns

An overrun or underrun of up to 5% is the industry standard and is considered acceptable for all promotional products. Paper products (such as folders, business cards, stickers, brochures and other such collateral) can have an overrun of up to 10%. Any overruns or underruns will be invoiced accordingly.

Industry Variances & Production Tolerances

The purchaser acknowledges that there are natural and unavoidable differences or fluctuations that can occur during manufacturing, production and decoration of custom branded products. Minor differences in fabric colors may occur from one dye lot to the next. Some products, such as those made from wood, bamboo or recycled materials, may vary in appearance from one piece to the next. Placement of the decoration (embroidery, print, engraving, patch, etc.) can vary slightly from one piece to the next. All of these variances are within the scope of acceptable industry tolerances and are not considered defects.

Customer Artwork, Copyright and Intellectual Property

The purchaser represents and warrants that it owns, or has obtained all necessary rights, licenses, permissions, and authorizations to use and reproduce, all logos, trademarks, artwork, photographs, text, designs, and other materials supplied to or designated for use by Red Canoe in connection with the order. The purchaser authorizes Red Canoe and its suppliers to use, reproduce, make production-related adjustments to, and transmit such materials solely as necessary to fulfill the purchaser's specific order. To the extent permitted by applicable law, the purchaser agrees to indemnify, defend, and hold harmless Red Canoe, its officers, employees, and agents against third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from allegations that materials supplied or designated by the purchaser, or their use as directed by the purchaser, infringe or violate another party's intellectual property, publicity, privacy, or other rights. Red Canoe reserves the right to decline or suspend production when it reasonably believes that the requested use of any materials may be unauthorized or unlawful.

Production, Turnaround Time & Delivery Dates

Turnaround times vary depending on the product and decoration method. The "In-Hands" date listed on your order is contingent upon immediate approval (and payment for prepay customers) and is calculated using published transit times for our freight carriers (UPS or FedEx in most cases). Red Canoe will make commercially reasonable efforts to meet the applicable production and delivery schedule. Delays may occur due to freight carrier delays, customs delays, adverse weather, natural disasters, labor disruptions, governmental actions, utility or network outages, public health emergencies, or other circumstances beyond Red Canoe's reasonable control.

Payment

Red Canoe accepts checks, all major credit cards, and ACH payments. Red Canoe reserves the right to request wire transfer payment on any order. All payments must be made in US dollars. Pursuant to section 5-2-212, Colorado Revised Statutes, Red Canoe may assess a processing surcharge of 2% on credit card payments. This fee only applies to credit card transactions (there is no fee for check or ACH payments). Please be advised that if your order contains multiple items, the items may be invoiced separately.​

Shipping

Unless stated otherwise, shipping is additional (or estimated) and will be added to total when order is invoiced. Any shipping estimates are based on delivery to a commercial address. Our products ship from various warehouse locations, and title of goods passes to the purchaser at the F.O.B. point. All goods are shipped uninsured at the purchaser's risk. Red Canoe will assist in working with the freight carrier in the event of delayed, lost or damaged shipments. If you'd like to purchase a higher limit of liability for your shipment than what is offered for free by the carrier, please notify us before approving your order. The purchaser is responsible for providing an accurate shipping address and ensuring that the delivery location can safely receive the shipment. Additional charges may apply for address corrections, redelivery, storage, refused deliveries, or other carrier-assessed services or fees. Red Canoe is not responsible for weather damage or theft when packages are left at the door. Any packages requiring a signature may be returned to the sender if nobody is present to accept delivery, resulting in additional shipping charges from the carrier. If you would prefer to have your order shipped on your UPS or FedEx account, please let us know before approving your order. 3rd party shipments are shipped ground unless specified otherwise. Red Canoe is unable to assist with freight carrier issues when orders are shipped on a 3rd party account. Some warehouses charge a 3rd party handling fee which will be invoiced accordingly. Please be advised that if your order is shipping to CA, Prop 65 warning labels may be placed on your items where required by law.

Order Changes & Cancellations

Once all approvals have been received, your order will proceed to production. Once production has begun, it will not be possible to change or cancel your order. If your order has not yet entered the production phase, you may be able to change or cancel your order. Any cancellation fees will vary depending on the nature of your order and how far your order has progressed. Changes to quantities, artwork, product specifications, shipping instructions, or delivery requirements after approval are subject to Red Canoe's written acceptance and may result in additional charges or revised delivery dates.​

Returns, Defects & Remedies

Because promotional products and logo apparel are custom ordered or decorated, returns are not accepted for changes of mind, incorrect purchaser-provided specifications, or other reasons unrelated to a defect or material nonconformity, except as required by applicable law. The purchaser is responsible for reviewing and approving all artwork proofs, product selections, colors, sizes, quantities, and other specifications before production. Red Canoe is not responsible for errors or omissions that appear in a proof approved by the purchaser, except to the extent caused by Red Canoe's failure to follow the approved proof or other agreed specifications. If products are defective or materially inconsistent with the approved order specifications, the purchaser must notify Red Canoe within five business days after delivery, and provide reasonable supporting information, including photographs or samples when requested. The purchaser should retain affected products and packaging until Red Canoe provides further instructions. Red Canoe will have a reasonable opportunity to investigate and, where appropriate, arrange correction, replacement, reprinting, or another reasonable remedy. If the issue cannot reasonably be remedied, Red Canoe will work with the purchaser to determine an appropriate refund, credit, or other remedy, subject to applicable law and any separate written agreement. Normal product and decoration variations described in these Terms & Conditions are not defects when they fall within applicable industry tolerances and conform to the approved specifications. Nothing in this section limits any nonwaivable rights or remedies available to the purchaser under applicable law.

Sales & Use Taxes

Red Canoe will collect and remit sales tax when required by applicable law. Purchasers seeking tax-exemption must provide valid exemption documentation applicable to the transaction before order placement or as otherwise required by law. For orders delivered outside jurisdictions where Red Canoe is required to collect sales tax, the purchaser may have an obligation to report and pay applicable use tax or other transaction taxes directly to the relevant taxing authority. The purchaser is responsible for their own tax reporting and payment obligations, except to the extent applicable law provides otherwise. Tax treatment may vary based on the destination, purchaser status, product type, and applicable state and local law.

Credit Terms, Late Payments & Collections

If Red Canoe extends credit to the purchaser, invoices are payable according to the payment terms stated on the applicable invoice. Any amount not paid when due will accrue interest at 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower, beginning on the date the amount becomes past due. Red Canoe may suspend or revoke credit privileges, place pending orders on hold, or require advance payment for future orders if an account becomes past due, subject to applicable law and any separate written agreement. To the extent permitted by applicable law, the purchaser will be responsible for reasonable collection costs, collection agency fees, court costs, and attorneys' fees incurred in collecting overdue amounts. A fee of up to $25 may be assessed for reversed payments or payments returned/declined due to insufficient funds or other reasons attributable to the purchaser, to the extent permitted by applicable law.

Product Warranties & Limitation of Liability

Products may be subject to warranties provided by their respective manufacturers or suppliers. To the extent transferable and permitted by the applicable warranty terms, Red Canoe will reasonably assist the purchaser in pursuing available manufacturer or supplier remedies. Except for express warranties made by Red Canoe in writing and to the extent permitted by applicable law, Red Canoe disclaims implied warranties, including implied warranties of merchantability and fitness for a particular purpose. Any disclaimer of an implied warranty is subject to applicable legal requirements and does not exclude warranties or rights that cannot lawfully be disclaimed. To the extent permitted by applicable law, Red Canoe's liability for defective or nonconforming merchandise will be limited to the remedies described in these Terms & Conditions, subject to any applicable express warranty or separate written agreement. Unless expressly agreed otherwise in writing and to the extent permitted by applicable law, Red Canoe will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost business opportunities, event-related losses, or reputational harm arising from an order, delay, defect, or non-delivery. Any limitation of liability, exclusion of damages, or limitation of remedies will apply only to the extent enforceable under applicable law and will not exclude liability that cannot lawfully be excluded.
